This document is provided for business use and is not legal advice. Have an attorney review these policies before relying on them for online payments, storefront checkout, or formal customer contracts.
1. AGREEMENT
By requesting a quote, placing an order, submitting artwork, approving a proof, making a payment, or using https://copycornernapa.com, you agree to these Terms & Conditions and our related policies (Privacy Policy, Shipping Terms, and Return & Reprint Policy). If you do not agree, do not place an order.
2. ABOUT US

3. QUOTES AND PRICING
3.1 Quotes and online price tools are estimates only until we confirm final details in writing.
3.2 Final price may differ from an earlier quote as quantity, paper, size, finish, revisions, and other details are changed or determined.
3.3 Sales tax is determined by where the order is received. Sales tax is not charged on services (including typesetting), as applicable under California law.
3.4 Typesetting and artwork creation/revision time is billed hourly with a minimum charge of $10.00.
4. PAYMENT TERMS
4.1 A deposit of 50% is expected before typesetting or artwork revisions begin.
4.2 After artwork is approved for print, the remaining balance is due before printing.
4.3 We accept common payment methods (cash, check, credit/debit card, ACH, and invoicing for approved accounts). We do not accept cryptocurrency. Card payments may be taken in store and/or online. In-person terminals currently may include Shopify and/or QuickBooks; processors may change.
4.4 Business net terms (e.g., Net 15/30) may be offered at our sole discretion.
4.5 Unpaid balances may result in a hold on future orders until the account is current.
4.6 If a payment is disputed or charged back, production stops. You remain liable for costs incurred, and the full balance is expected before completion.
5. ARTWORK, PROOFS, AND APPROVAL
5.1 When you submit artwork, we review it for print readiness (resolution, color mode, bleeds, safe margins, file format, and similar technical requirements for the agreed production method).
5.2 If adjustments are needed (for example converting to CMYK or adding bleeds), we may make them and send a PDF proof by email for your review.
5.3 You are responsible for carefully reviewing the proof before approving production, including but not limited to: spelling and typos; fonts, formatting, and layout; image quality and cropping; on-screen color appearance; bleeds, safe areas, and trim; fold lines, perforations, die lines, and binding; and quantity, paper, size, finishing, and price.
5.4 Approval of the proof, together with confirmation of quantity, paper, and price, authorizes us to proceed to print. Once approved, the order is final except as stated in our Return & Reprint Policy.
5.5 If you do not approve the proof, you may request corrections. We may make corrections in-house when able, or ask you to submit a revised file, which we will re-check for print readiness before sending an updated proof.
5.6 We do not offer press checks (on-press color approval during production), except that typesetting services (artwork creation or changes to artwork) are billed for time spent as described above.
5.7 PMS / spot color matching is offered only when the job is printed offset or with ink as specified on your quote or order. Digital and other methods may produce colors that are close but not an exact PMS match. On-screen proofs are approximate; final printed color may vary by paper, coating, equipment, and method.
6. TYPESETTING
“Typesetting” means changes to your artwork or creation of artwork on your behalf (layout, formatting, text edits, file preparation beyond standard print-readiness fixes, and similar work). Typesetting is billed for time spent (hourly, $10 minimum) and may be required before a proof is issued.
7. PRODUCTION STANDARDS AND TOLERANCES
7.1 Quantity: Unless otherwise agreed in writing, we may deliver and invoice up to 10% over or under the quantity ordered. Charges are pro-rated based on the unit price on your approved quote or invoice. Exact quantity with no over/under run must be requested in writing before production and may require additional charges.
7.2 Trim: Final cut size (flat/trimmed pieces, not folded) may vary by up to ±1/16 inch.
7.3 Fold: Fold placement may be up to 1/16 inch off center.
7.4 Variation within these tolerances is not a misprint or shop error.
7.5 Vendor finishes: Some finishes are completed by outside vendors. If proof or final approval is received too late for a specified finish to meet an agreed deadline, we reserve the right to prioritize the deadline over the originally approved finished product (for example proceeding without that finish, substituting an alternative that can be completed in time, or shipping in stages). We will make reasonable efforts to notify you. No credit is due solely because a vendor finish was skipped or changed to meet a deadline after late approval. Customer pays any extra shipping for split shipments.
8. RIGHT TO REFUSE OR VOID ORDERS
8.1 We reserve the right to refuse or discontinue any job that has not yet been paid for, except that typesetting or other work already performed will be billed for time spent.
8.2 We may void or refuse an order after payment. In that case we will provide a refund less the cost of any time spent, materials purchased, and similar costs incurred.
8.3 We may refuse or void work that is unlawful, infringes third-party rights, is technically unfeasible, fraudulent or suspicious, involves abusive conduct, or cannot be produced to a reasonable standard with the materials and methods requested.
8.4 If we void an order due to customer abuse or fraud before production obligations are owed, a full refund may be issued as appropriate under the circumstances.
9. CANCELLATION BY THE CUSTOMER
9.1 Before we have performed any work: full refund, no fees.
9.2 After typesetting or file prep has begun: refund less compensation for typesetting/file prep and related work performed.
9.3 After proof approval: no refund, or refund only at our discretion.
9.4 After production has started: no refund.
9.5 If you do not approve the proof or provide corrections within 10 business days after the proof is sent, we reserve the right to void the order with no refund.
9.6 Deposits and payments are non-refundable once an order has been approved for print, except as required for confirmed misprints/shop errors or as we otherwise agree in writing. Custom manufacturing involves irreversible pre-press, material, and scheduling costs.
10. INTELLECTUAL PROPERTY
10.1 You warrant that you own or have rights to use all artwork and content you supply, and that our production of the order will not infringe third-party rights.
10.2 You retain ownership of artwork you supply. We claim ownership only of artwork we have produced (including typesetting and original design we create), unless otherwise agreed in writing.
10.3 Unless you opt out in writing, we may display completed work in our portfolio, website, and social media.
11. LIMITATION OF LIABILITY
To the maximum extent permitted by law, our total liability for any claim arising out of an order is limited to the amount you paid for that order. We are not liable for indirect, incidental, special, consequential, or lost-profit damages.
12. FORCE MAJEURE
We are not liable for delays or failure to perform caused by events beyond our reasonable control, including equipment failure, vendor delays, supply shortages, fire, natural disaster, labor issues, pandemic, or similar events.
13. GOVERNING LAW AND DISPUTES
These terms are governed by the laws of the State of California. Exclusive venue for disputes is the state or federal courts located in Napa County, California, unless applicable law requires otherwise. Please contact us first to attempt informal resolution.
14. CHANGES
We may update these Terms & Conditions from time to time. The effective date above will change when we do. Continued use of our website or services after updates constitutes acceptance of the revised terms.
